Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of LocalBoss — the platform, dashboard, agents, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. Please read them carefully.

01Acceptance of terms

By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

If you do not agree to these Terms, you must not use the Service.

02What LocalBoss provides

LocalBoss is a software tool that helps you operate a website agency. Among other things, the Service can identify local businesses that may lack a website, generate draft websites from publicly available information, deploy those sites to hosting providers, and assist you in sending outreach to prospective clients.

You are the operator. LocalBoss provides automation and tooling; you decide which markets to target, review the work produced, and choose what to send and to whom. You are solely responsible for how you use the Service and for your relationships with the businesses you contact or serve.

03Your account

You must provide accurate information when registering and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old and legally able to enter into these Terms.

04Plans, billing & cancellation

The Service is offered on a free tier and on paid subscription plans. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on each renewal until you cancel.

  • Quotas. Each plan includes a defined number of builds or actions per period. Usage beyond your plan’s quota may require an upgrade.
  • Renewals. Subscriptions renew automatically for the same term unless cancelled before the renewal date.
  • Cancellation. You may cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • Refunds. Except where required by law, payments are non-refundable and partial periods are not prorated.
  • Price changes. We may change plan pricing on reasonable notice; changes apply from your next renewal.

Fees you charge your own clients are entirely between you and them. LocalBoss is not a party to those transactions.

05Acceptable use

You agree not to use the Service to:

  • Break any law or regulation, or infringe anyone’s rights;
  • Send spam, deceptive, harassing, or unsolicited communications in violation of applicable law;
  • Scrape, collect, or process data in violation of a third party’s terms or of data-protection law;
  • Impersonate any person or misrepresent your affiliation;
  • Build or promote sites containing unlawful, fraudulent, harmful, or infringing content;
  • Attempt to disrupt, reverse engineer, overload, or gain unauthorized access to the Service or its infrastructure;
  • Resell or provide the Service to third parties except as expressly permitted by your plan.

We may suspend or terminate accounts that we reasonably believe violate this section.

06Outreach & anti-spam duties

The Service can help you send email, SMS, and messaging outreach. You are solely responsible for the content, targeting, and legality of every message sent through or with the help of the Service. This includes compliance with laws such as the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), applicable “Do Not Call” rules, GDPR/UK GDPR and ePrivacy rules, and the terms of any email, SMS, or messaging provider you connect.

You are responsible for obtaining any consent required to contact a recipient, for honoring opt-out and unsubscribe requests, and for accurately identifying yourself as the sender. LocalBoss does not send outreach on your behalf without your instruction, and does not guarantee deliverability or any response.

07Generated sites & content

The Service generates draft websites and copy using publicly available information and automated models. Generated output may be inaccurate, incomplete, or unsuitable, and must be reviewed before you rely on or publish it. You are responsible for verifying facts, imagery, pricing, claims, and licensing before deploying or delivering any site.

As between you and LocalBoss, you own the sites and content you generate and deliver to your clients, subject to the rights of any third parties whose material is included. You are responsible for ensuring you have the necessary rights to any business names, logos, photos, reviews, or other materials incorporated into a generated site.

08Connected accounts & third-party services

The Service lets you connect third-party accounts — for example email, Twilio (SMS), and hosting providers such as Vercel. Credentials you connect are encrypted and used only to perform the actions you request. Your use of those third parties remains subject to their own terms, and you are responsible for any charges they impose. We are not responsible for the availability, acts, or omissions of third-party services.

09Intellectual property

The Service, including its software, design, and brand, is owned by LocalBoss and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of the Service itself except as permitted by law.

10Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that generated output will be accurate, or that using the Service will produce any particular business result.

11Limitation of liability

To the maximum extent permitted by law, LocalBoss and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim, or USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12Indemnification

You agree to indemnify and hold harmless LocalBoss from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content and outreach, your violation of these Terms, or your violation of any law or third-party right.

13Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

14Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last updated” date or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which LocalBoss is established, without regard to conflict-of-laws principles. You agree to resolve any dispute relating to these Terms or the Service in the courts of that jurisdiction, unless applicable law grants you the right to bring proceedings elsewhere.
